PALADIN ASSURANCE — BILLING AGREEMENT

Between Paladin Assurance ("Paladin") and Northwind Recordkeeping LLC ("Client"), effective July 1, 2026.

1. Plan and fees Client subscribes to the Fund plan at $3,500 per year, covering 6 seats. Fees are billed annually in advance and are non-refundable except as required by law.

2. What's included Access to the Paladin Assurance vendor cybersecurity assessment platform for the subscription term, per the entitlements of the Fund plan as described on paladinassurance.com/services at the time of signing.

3. Term and renewal This Agreement begins on the effective date above and renews automatically for successive one-year terms unless either party gives written notice of non-renewal at least 30 days before the then-current term ends.

4. Payment Payment is due upon signing for the first term and upon renewal thereafter. Paladin may suspend access for accounts more than 15 days past due, with written notice.

5. Data and confidentiality Each party will keep the other's confidential information confidential and use it only to perform this Agreement. Client's assessment data remains Client's property; Paladin may use de-identified, aggregated data to improve the platform.
